Professor Anne Conaway is a Professor of Law at Widener University School of Law in Wilmington, Delaware where she teaches courses on business organizations and corporations, contract drafting and negotiation in closely-held business entities, limited liability companies and statutory trusts, contracts, fiduciary duties in business entities, and securities regulation. Prior to teaching, she was an associate in the Wilmington office of Skadden, Arps, Slate, Meagher & Flom. She also served as law clerk to the Honorable Henry R. Horsey, Justice of the Delaware Supreme Court. Professor Conaway graduated cum laude from Temple University School of Law where she served on the Temple Law Review. Professor Conaway received her B.A. magna cum laude from the University of Georgia, where she was a member of Phi Beta Kappa. Professor Conaway is a member of the American Law Institute (ALI). She is a former Delaware Commissioner and is presently a Life Member with the Pennsylvania Commission to the National Conference of Commissioners on Uniform State Laws (NCCUSL). As a Commissioner, Professor Conaway has served on the Limited Liability Partnership Act, the Revised Limited Partnership Act, the Revised Limited Liability Company Act, the Statutory Trust Act, the Omnibus Business Code Project, the Record Owners Act, and the revisions to Article 8 of the Uniform Commercial Code. Professor Conaway served as the National Conference Reporter for the Model Entity Transactions Act and is former Chair and former Secretary of the Joint Editorial Board for the Uniform Unincorporated Organizations Acts. Professor Conaway served as Master in Chancery pro hac vice (1990-1992) for the Court of Chancery for the State of Delaware in a case of first impression regarding Delaware corporate dissolution law. Professor Conaway is active in the ABA Business Law Section Committee on LLCs, Partnerships and Unincorporated Entities as well as the Committee on Alternative Entity Legislation for the Delaware Bar Association. She is co-author of the treatise, Keatinge and Conaway on Choice of Business Entity. She serves as the Director of the Annual Symposium on Delaware Business Entity Law for the Delaware Bar Association.
